Certain features of the Site may be subject to additional guidelines, terms, or rules, which will be posted on the Site in connection with such features. All such additional terms, guidelines, and rules are incorporated by reference into these Terms.
THESE TERMS OF USE SET FORTH THE LEGALLY BINDING TERMS AND CONDITIONS THAT GOVERN YOUR USE OF THE SITE. BY ACCESSING OR USING THE SITE, YOU ARE ACCEPTING THESE TERMS. YOU MAY NOT ACCESS OR USE THE SITE IF YOU ARE NOT AT LEAST 18 YEARS OLD.
PLEASE BE AWARE THAT SECTION 10.2 CONTAINS PROVISIONS GOVERNING HOW TO RESOLVE DISPUTES BETWEEN YOU AND COMPANY, INCLUDING AN AGREEMENT TO ARBITRATE AND A CLASS ACTION AND JURY TRIAL WAIVER. PLEASE READ SECTION 10.2 CAREFULLY.
To access certain features of the Site, you must create an account and provide accurate information as prompted during registration. You represent and warrant that all registration information you submit is true, complete, and accurate, and that you will maintain the accuracy of such information at all times. You may delete your Account at any time by following the instructions provided on the Site. GloraFi, LLC. reserves the right to suspend or terminate your Account at its sole discretion, in accordance with Section 8 of these Terms.
You are responsible for maintaining the confidentiality and security of your Account login credentials and for all activities that occur under your Account. You agree to notify GloraFi, LLC. immediately of any unauthorized access, suspected unauthorized use, or other security breaches related to your Account. GloraFi, LLC. is not liable for any loss, damages, or unauthorized activity resulting from your failure to safeguard your login credentials.
GloraFi, LLC. provides optional security features, including two-factor authentication (2FA), that you may enable through your Account settings. You are responsible for choosing whether to enable these features and for safely storing any associated credentials, including authenticator app codes and one-time recovery codes issued at enrollment. To the maximum extent permitted by law, GloraFi, LLC. is not liable for any unauthorized access, loss, or damage arising from your decision not to enable available security features, your failure to safeguard those features or their associated credentials, or the compromise of a third-party device or service (such as a phone, email account, or authenticator app) you use to access your Account.
Subject to these Terms, GloraFi, LLC. grants you a limited, non-transferable, non-exclusive, revocable license to access and use the Site solely for your personal or internal business use.
You shall not: (a) license, sell, rent, lease, assign, transfer, or otherwise commercially exploit the Site or any content therein; (b) modify, reverse engineer, disassemble, or create derivative works of any part of the Site; (c) access or use the Site to build a competing product or service; or (d) copy, reproduce, republish, upload, or transmit any part of the Site in any form.
GloraFi, LLC. reserves the right to modify, suspend, or discontinue any aspect of the Site at any time, with or without notice.
GloraFi, LLC. has no obligation to provide technical support, updates, or maintenance for the Site, unless otherwise explicitly stated.
All rights, title, and interest in the Site — including intellectual property rights, software, logos, trademarks, designs, and data — belong to GloraFi, LLC. or its licensors.
Any feedback, ideas, or suggestions you provide to GloraFi, LLC. shall become the exclusive property of GloraFi, LLC. without any obligation of compensation.
"User Content" means any information, data, documents, or materials you upload or submit through the Site. You are solely responsible for all User Content you provide and assume all risks associated with its accuracy and completeness.
By submitting User Content, you grant GloraFi, LLC. an irrevocable, worldwide, nonexclusive, royalty-free license to host, store, reproduce, distribute, display, and otherwise use your User Content solely as necessary to operate, improve, and promote the Site and related services.
You agree not to upload content that: (a) infringes any intellectual property or proprietary right; (b) is unlawful, abusive, harassing, defamatory, or otherwise objectionable; (c) harms or attempts to exploit minors; or (d) violates any applicable laws. You also agree not to upload malware, send spam, harvest user data without consent, or attempt to gain unauthorized access to any part of the Site.
GloraFi, LLC. reserves the right to review, remove, or modify any User Content at its sole discretion and may suspend or terminate accounts that violate these Terms.
You agree to indemnify, defend, and hold harmless GloraFi, LLC., its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Site, your violation of these Terms, or your User Content.
The Site may include links to third-party websites or advertisements. GloraFi, LLC. has no control over and assumes no responsibility for the content or practices of any third-party websites. Use of Third-Party Links & Ads is entirely at your own risk.
Your interactions with other users of the Site are entirely at your own discretion and risk. GloraFi, LLC. will not be liable for any loss or damage resulting from such interactions.
By using the Site, you release GloraFi, LLC. and its affiliates from any and all past, present, and future claims arising out of your use of the Site, interactions with other users, or dealings with Third-Party Links & Ads. If you are a California resident, you hereby waive California Civil Code Section 1542.
The Site is offered on an "as-is" and "as-available" basis. GloraFi, LLC. expressly disclaims all warranties of any kind, whether express, implied, or statutory — including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. GloraFi, LLC. makes no representation or warranty that the Site will be uninterrupted, timely, secure, or error-free.
To the maximum extent permitted by law, GloraFi, LLC. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your access to or use of the Site. GloraFi, LLC.'s total cumulative liability to you for any damages shall not exceed fifty U.S. dollars ($50 USD).
These Terms will remain in effect while you access or use the Site. GloraFi, LLC. may suspend or terminate your rights to use the Site at any time, with or without notice, and for any reason — including violation of these Terms. Upon termination, your Account and right to access the Site will immediately cease.
GloraFi, LLC. respects intellectual property rights and has adopted a policy for removing infringing materials in accordance with the DMCA (17 U.S.C. § 512). To report copyright infringement, contact our Designated Copyright Agent at info@glorafi.com.
These Terms are subject to occasional updates. Your continued use of the Site following notice of changes constitutes acceptance of the updated Terms.
Any dispute or claim between you and GloraFi, LLC. relating to the Site or these Terms will be resolved through binding arbitration administered by JAMS rather than in court, except for small claims court matters or intellectual property disputes. Before filing for arbitration, both parties agree to attempt informal resolution within 45 days. YOU AND GLORAFI, LLC. WAIVE ANY RIGHT TO A JURY TRIAL AND TO BRING CLAIMS ON A CLASS BASIS. You may opt out of this Arbitration Agreement within 30 days of first agreeing to these Terms by emailing info@glorafi.com.
You agree not to export, re-export, or transfer any U.S. technical data or products acquired from GloraFi, LLC. in violation of U.S. export control laws.

You consent to receive communications from GloraFi, LLC. electronically. All agreements and notices provided electronically satisfy any legal requirement for written communication.
